A company incorporated in Australia must have at least one director who is a resident of Australia. When looking to establish a company in Australia, our clients often require the services of a resident person willing to take up the position of nominee resident director.

There are a number of fiduciary responsibilities of being a company director in Australia, that person should be experienced in meeting corporate governance and other business registration requirements.

The role comprises of the following obligations:

  • Comply with the Australian Corporations Act 2001 – which requires every company incorporated or registered in Australia to have, at all times, at least one director who ordinarily resides in Australia and is a citizen or holds permanent residency.

  • Primary Responsibilities -

    • Incorporate the company as an Australian Entity

    • Be the primary contact for tax registration

    • Arrange and negotiate for exemptions from audit if necessary

    • Manage the employment policies of the Australian company

    • Manage the overall ongoing financial reporting

    • Accurately lodge the company’s affairs on time with Australian regulatory bodies

    • Be responsible for any legal actions/movements within Australian borders

    • Expand operations on behalf of the foreign company when necessary
